General terms and conditions for enquiries and business engagement with GerRhine.

1. Introduction

These Terms and Conditions (“T&C”) apply to commercial enquiries, quotations, pilot projects, and related pre-contract discussions with GerRhine, unless a separate written agreement expressly states otherwise.

2. No obligation until contract

Information, indicative pricing, timelines, or factory introductions provided before execution of a definitive agreement are non-binding and subject to change. A binding relationship arises only when authorised representatives execute a written contract.

3. Specifications and compliance

You are responsible for the accuracy of specifications, labelling claims, and market-specific regulatory requirements for your products. GerRhine assists with sourcing and coordination but does not replace your regulatory counsel or notified-body decisions.

4. Intellectual property and confidentiality

Each party retains its pre-existing IP. Materials shared for evaluation remain the disclosing party’s property and must be kept confidential, except as required by law or with prior written consent.

5. Samples and trials

Samples or trial batches, if offered, are governed by separate written terms covering quantity, cost allocation, timelines, and quality acceptance criteria.

6. Limitation of liability (pre-contract)

To the extent permitted by law, GerRhine’s aggregate liability arising from pre-contract discussions shall not exceed direct damages proven and shall exclude indirect or consequential losses, except for fraud or wilful misconduct.

7. Force majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, embargoes, labour disputes, or failures of public infrastructure, subject to prompt notice where practicable.

8. Anti-bribery and export controls

Parties will comply with applicable anti-bribery and export-control laws. You warrant that end-use and destinations disclosed to us are accurate to the best of your knowledge.

9. Governing law

Unless a signed contract specifies otherwise, these T&C are governed by the jurisdiction indicated on our Contact page (or GerRhine’s primary place of business if not stated).
